Terms of Service

GarlicCards is operated by 12449676 Canada Inc., operating as GarlicCards ("GarlicCards," "we," "us," or "our").

These Terms of Service apply to your access to and use of GarlicCards, including its website, applications, features, communications, and related services collectively referred to as the "Platform."

GarlicCards allows users to publish cards offering services or requesting services that may be performed online or in person. By accessing the Platform, creating an account, publishing a card, contacting another user, or otherwise using GarlicCards, you acknowledge and agree to these Terms of Service.

1. Platform Role

GarlicCards provides an online platform through which users may:

  • publish service cards describing services they are willing to provide;
  • publish request cards describing services they are seeking;
  • discover and communicate with other users; and
  • arrange potential services independently.

Unless GarlicCards expressly states otherwise, GarlicCards is not the provider, purchaser, employer, contractor, agent, representative, partner, broker, or insurer of any user.

GarlicCards does not automatically become a party to an agreement between users merely because the users discovered or contacted one another through the Platform. Users are responsible for discussing and agreeing upon the scope, price, timing, location, qualifications, payment method, cancellation terms, and other conditions of a service.

2. Account Access and Eligibility

You must provide accurate, current, and complete information when creating or maintaining an account.

You are responsible for:

  • keeping your login credentials confidential;
  • protecting access to your email address, telephone number, and devices;
  • all activity conducted through your account;
  • promptly updating inaccurate or outdated account information; and
  • notifying GarlicCards if you believe your account has been accessed without authorization.

You may not create an account using another person's identity or impersonate another individual, business, organization, licensed professional, or government authority.

You may not sell, transfer, rent, or share your account without GarlicCards' written permission.

You must be legally capable of entering into any agreement you make through the Platform. Users who are below the age of majority in their jurisdiction may use GarlicCards only where permitted by applicable law and with the involvement and permission of a parent or legal guardian.

GarlicCards may require identity, contact, qualification, or account verification. Verification does not constitute an endorsement, guarantee, background check, or certification of a user unless GarlicCards expressly states otherwise.

3. User Content and Limited Licence

"User Content" includes the text you submit through cards, titles, descriptions, profiles, usernames, messages, reviews where available, prices, locations, links, and other supported fields. Cards and chats currently support text only, not picture or video uploads. These rules apply to public posts, private messages, and links to content hosted elsewhere.

You retain any ownership rights you have in your User Content. You grant GarlicCards a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, display, and technically format your User Content only as reasonably necessary to operate the Platform, deliver communications, provide search and accessibility features, address reports and security issues, and comply with applicable law. We may permit service providers acting on our behalf to exercise these rights only for those purposes and subject to appropriate obligations.

For content you make public, this licence also permits displaying and promoting your public cards and public profile in connection with GarlicCards. Private messages are not licensed for public display or advertising. We will not use private messages in promotional materials without separate permission from the relevant rights holders and any other consent required by law.

This licence does not authorize unrelated sale or use of personal information and remains subject to applicable privacy law. It continues while we lawfully retain the content, including limited retention reasonably necessary for backups, security, dispute resolution, or legal obligations. Removing a public post cannot necessarily recall copies already made or shared by others.

You represent that:

  1. you own your User Content or have the rights necessary to submit it and grant this licence;
  2. factual claims you make are accurate and not materially misleading;
  3. your User Content does not violate another person's privacy, copyright, trademark, contractual, or other rights; and
  4. submitting or sharing it does not violate applicable law.

You are responsible for the content you submit and for your own unlawful conduct. Hosting or transmitting your content does not mean GarlicCards approves or endorses it. Nothing in this section transfers to users any responsibility that applicable law places on GarlicCards.

4. Service and Request Cards

Every card must accurately describe the service being offered or requested.

A card must not:

  • contain false, deceptive, incomplete, or misleading claims;
  • misrepresent the user's experience, qualifications, identity, licences, insurance, availability, pricing, or location;
  • use unrelated keywords or categories to manipulate search results;
  • advertise a service the user is not legally permitted or reasonably able to provide;
  • conceal mandatory charges or intentionally misstate the expected price;
  • duplicate another card in a way that creates spam or unfairly manipulates visibility;
  • direct users to fraudulent, deceptive, malicious, or unsafe websites;
  • collect personal information for an unrelated or unauthorized purpose; or
  • encourage users to violate laws, contracts, professional rules, safety requirements, or Platform policies.

Publishing a card does not guarantee that another user will view it, respond to it, purchase a service, accept a request, or complete a transaction.

GarlicCards may categorize, reformat, limit the distribution of, add notices to, remove, or decline to publish a card where reasonably necessary to operate or protect the Platform.

5. Prohibited Services and Conduct

You may not use GarlicCards to offer, request, arrange, promote, or facilitate anything that is illegal, fraudulent, exploitative, abusive, dangerous, or prohibited by GarlicCards policies.

Prohibited activity includes:

  • fraud, scams, identity theft, deceptive business practices, or money laundering;
  • human trafficking, forced labour, exploitation, or services provided under coercion;
  • sexual services or content prohibited by applicable law or Platform policy;
  • child sexual abuse or exploitation material, grooming, sexual solicitation of minors, or content or links that promote or facilitate child sexual exploitation, including prohibited written material;
  • non-consensual intimate content, threats to distribute it, or links facilitating access to it;
  • illegal drugs, controlled substances, prohibited weapons, or other unlawful goods;
  • violence, threats, harassment, stalking, defamatory allegations, hate-based conduct, or discrimination;
  • services involving unlawful access to accounts, devices, networks, databases, or private information;
  • academic cheating, falsification of credentials, or preparation of fraudulent documents;
  • infringement of intellectual-property or privacy rights;
  • unsafe services that create an unreasonable risk of injury or property damage;
  • regulated professional services offered without legally required qualifications, permits, licences, registrations, or insurance; and
  • any attempt to evade Platform restrictions, enforcement measures, or applicable law.

These restrictions apply equally to public cards and private chats. Moving a prohibited arrangement into a private conversation does not make it permitted.

This list is not exhaustive. GarlicCards may prohibit additional categories where necessary for legal compliance, public safety, user protection, payment-provider requirements, or the proper operation of the Platform.

6. Professional and Regulated Services

Some services may require a licence, certification, permit, insurance policy, background check, or other legal authorization.

Users offering regulated services are solely responsible for determining and satisfying all requirements that apply to them. This may include requirements affecting healthcare, legal services, financial services, childcare, construction, electrical work, plumbing, transportation, security, real estate, immigration, accounting, and other regulated activities.

GarlicCards does not independently confirm a user's professional standing unless a specific verification feature expressly states what was checked and when it was checked.

A profile label, verification mark, review, ranking, search position, or other Platform feature should not be treated as professional advice or as a guarantee that a user is qualified, suitable, trustworthy, licensed, insured, or legally permitted to perform a service.

7. User-to-User Transactions

Users are responsible for evaluating each other before entering into a transaction.

Before agreeing to an in-person or online service, users should independently confirm relevant information, which may include:

  • identity and contact details;
  • experience and qualifications;
  • licences, certifications, permits, and insurance;
  • the exact scope and expected result of the service;
  • price, deposits, expenses, taxes, and payment schedule;
  • cancellation and refund terms;
  • location, access requirements, and safety conditions; and
  • any written agreement or receipt required by law.

GarlicCards does not guarantee:

  • the identity, conduct, honesty, qualifications, availability, or reliability of a user;
  • the accuracy of a card, profile, review, price, location, or message;
  • the quality, legality, safety, timeliness, or suitability of a service;
  • that a user will pay an agreed amount;
  • that a provider will complete a service;
  • that a requested service can legally or practically be performed; or
  • that a dispute between users will be resolved.

Users enter into transactions at their own judgment and risk.

8. In-Person Safety

Users are responsible for taking reasonable precautions when arranging in-person services.

GarlicCards does not supervise in-person meetings or service performance. Users should avoid proceeding with an arrangement where the circumstances, location, requested conduct, payment method, or communications appear suspicious or unsafe.

In an emergency or where there is an immediate threat to a person or property, contact the appropriate emergency service or law-enforcement authority. Reporting something to GarlicCards is not a substitute for contacting emergency services.

9. Public Information, Private Chats, and Privacy

Information in a public card or public profile may be viewed, copied, indexed, or shared by others. Do not publish sensitive information that is unnecessary for the card.

Chats are intended for their participants, rather than public display. Each participant is responsible for their own messages, representations, commitments, and conduct. Providing messaging does not make GarlicCards a party to an agreement between participants or an endorser of their statements.

Recipients may retain, copy, or report messages they receive. Do not send passwords, authentication codes, payment-card credentials, or other information that is unnecessary for arranging a service. A private chat is not a promise of absolute confidentiality or a representation that messages are end-to-end encrypted.

Where reasonably necessary and legally permitted, authorized personnel or service providers acting on our behalf may access messages and relevant context to investigate a report, address abuse or security issues, resolve a technical problem, or meet a legal obligation. Any such access must be limited to the relevant purpose and authorized persons and comply with applicable privacy law. This section is not blanket consent to unrelated monitoring, disclosure, or advertising uses.

Users must not:

  • publish another person's private information without a lawful basis;
  • use contact information obtained through GarlicCards for spam or unrelated marketing;
  • scrape, harvest, sell, or compile user information;
  • send threatening, discriminatory, deceptive, or unwanted communications;
  • use messages to arrange prohibited services or evade enforcement; or
  • solicit sensitive personal information without a legitimate and lawful reason.

Personal information must be collected, used, disclosed, secured, and retained in accordance with applicable privacy law and the privacy information provided to users. Messages and associated records may be retained only as reasonably necessary for the disclosed purposes or as required or permitted by law. Hiding content or closing an account does not necessarily erase information immediately, including where a legal preservation requirement applies. These Terms do not establish indefinite retention of chats.

Further information about actual data practices, retention, service providers, and privacy rights must be provided in GarlicCards' separate Privacy Policy. These Terms of Service do not replace that policy.

10. Reviews and Reputation Features

Where GarlicCards provides reviews, ratings, endorsements, reports, verification indicators, or similar features, users must submit honest information based on genuine experiences.

Users may not:

  • purchase, sell, trade, or fabricate reviews;
  • review themselves through another account;
  • threaten or pressure another user regarding a review;
  • submit a review primarily to harass, retaliate against, or extort another user; or
  • manipulate reviews, ratings, engagement, or search visibility.

GarlicCards may remove or restrict reviews that appear fraudulent, irrelevant, abusive, unlawful, or inconsistent with Platform rules. GarlicCards is not required to determine which party is correct in every disagreement.

11. Moderation, Reports, and Legal Compliance

GarlicCards may use manual review, automated systems, user reports, or other reasonable methods to identify potential violations. Except where required by applicable law, GarlicCards does not undertake to pre-screen every card or message or monitor every transaction, user, or activity. Moderation cannot guarantee detection or prevention of every violation.

GarlicCards may take proportionate measures, with or without prior notice where legally permitted, including:

  • rejecting, restricting, hiding, reclassifying, or removing User Content;
  • making technical formatting changes without adopting the user's statements;
  • limiting messaging, search visibility, or access to features;
  • requesting relevant information or verification;
  • issuing warnings or suspending or terminating accounts;
  • preserving relevant information where legally required or otherwise lawfully justified; and
  • responding to valid legal demands and making reports or disclosures required or permitted by applicable law.

Reports may be submitted using section 23, or an in-product reporting feature if available. We will assess sufficiently specific reports and take action appropriate to the circumstances and applicable legal requirements. A report does not itself establish that content is unlawful. The nature, severity, urgency, and supporting information may affect how a report is handled. No fixed response time or particular outcome is promised, except where applicable law requires one.

Nothing in these Terms limits a mandatory duty to report, preserve information, restrict access, respond to a valid legal order, or otherwise comply with applicable law. Removing public access and preserving legally required evidence are separate actions. Personal information will be disclosed only where there is a lawful basis; a request from another user or authority does not by itself authorize every disclosure.

We may withhold details of an investigation or enforcement decision where necessary to protect privacy or security, comply with law, or avoid prejudicing an investigation. Where applicable law requires reasons, notice, or a review process, we will provide them as required.

Users must not submit knowingly false reports, misuse reporting tools, or evade restrictions. You may contact us under section 23 if you believe an action affecting your account or content was taken in error. This does not limit any statutory complaint or appeal rights.

12. Intellectual Property

The GarlicCards name, logo, interface, software, design, databases, text, graphics, and other Platform materials are owned by or licensed to GarlicCards and may be protected by intellectual-property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, licence, reverse engineer, scrape, create derivative works from, or commercially exploit Platform materials.

Nothing in these Terms of Service transfers ownership of GarlicCards intellectual property to a user.

A person who believes that content on the Platform infringes their intellectual-property rights may contact us under section 23. Include the protected work or right, the specific content and its location, the basis of the claim, your contact information, and whether you are the rights holder or an authorized representative. Include any additional information required by the applicable legal procedure. We will handle notices in accordance with applicable law; not every allegation automatically requires removal. Nothing in these Terms replaces a statutory notice procedure or waives a defence or exception available under law.

13. Third-Party Services and Links

GarlicCards may contain links to, integrations with, or content supplied by third-party websites, payment processors, mapping providers, authentication providers, hosting providers, or other services.

GarlicCards does not control independently operated third-party services and, to the extent permitted by applicable law, is not responsible for their independent acts or omissions. This does not exclude our own duties concerning service providers we engage or personal information entrusted to them. Your use of a third-party service may be governed by that provider's own terms and privacy practices.

The presence of a link or integration does not necessarily mean that GarlicCards endorses or guarantees the third party.

14. Service Availability and Changes

GarlicCards may add, modify, suspend, restrict, or discontinue any feature or part of the Platform.

GarlicCards does not guarantee that:

  • the Platform will always be available, uninterrupted, secure, or error-free;
  • messages, notifications, cards, or search results will always be delivered or displayed;
  • information will never be lost or altered;
  • every feature will remain available in every location; or
  • the Platform will be compatible with every device, browser, or operating system.

Maintenance, security incidents, technical problems, legal requirements, third-party dependencies, or business decisions may affect Platform availability.

Where reasonably practical, GarlicCards may provide advance notice of significant changes, but it is not always possible to do so.

15. Disclaimers

To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis.

GarlicCards disclaims warranties and representations that are not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and satisfactory quality.

Nothing in these Terms of Service excludes a warranty, condition, right, remedy, or liability that cannot legally be excluded or limited.

16. Limitation of Liability

In this section, the "Protected Parties" means 12449676 Canada Inc. and its directors, officers, employees, shareholders, contractors, affiliates, and service providers, in each case in connection with their role in providing the Platform.

To the maximum extent permitted by applicable law and subject to the exceptions below, the Protected Parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings, arising out of or relating to these Terms of Service or the Platform, including User Content, private messages, user-to-user services, interruptions, loss of data, unauthorized access, or another user's conduct.

Subject to the exceptions below, the total aggregate liability of all Protected Parties combined to you for all claims arising out of or relating to these Terms of Service or the Platform will not exceed the greater of:

  1. CAD $100; or
  2. the total Platform fees you paid directly to 12449676 Canada Inc. for your use of GarlicCards during the 12 months immediately preceding the first event giving rise to the claims.

For this calculation, Platform fees exclude amounts paid or payable to another user or service provider for their services, including amounts that GarlicCards merely collects on their behalf. If you have paid no Platform fees during that period, the stated cap is CAD $100. The cap is aggregate, not a separate allowance for each claim, event, or Protected Party.

Subject to applicable law, these exclusions and the cap apply whether a claim is framed in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether or not the possibility of the loss was disclosed or foreseeable.

These exclusions and the cap do not apply to fraud or intentional misconduct by a Protected Party, or to death or personal injury caused by that party's negligence. They do not exclude or limit any liability, consumer right, privacy right, statutory duty, or remedy to the extent it cannot lawfully be excluded or limited. Each Protected Party remains responsible to the extent applicable law requires for its own conduct. Where a limitation is prohibited, it applies only to the extent legally permitted.

This section does not cap government fines, criminal penalties, or regulatory enforcement powers, and does not bind a third party who has not validly agreed to it. It does not impose a limit on amounts one user owes another under a separate service agreement. Nothing in this section guarantees that a court will enforce a particular exclusion or cap.

The protections in this section are intended to benefit each Protected Party. To the extent permitted by applicable law, 12449676 Canada Inc. contracts on its own behalf and as agent and trustee for the other Protected Parties for this limited purpose, so they may rely on these protections.

17. User Responsibility and Indemnity

You remain responsible for your User Content, messages, services, requests, and conduct.

To the extent permitted by applicable law, you agree to indemnify GarlicCards and its directors, officers, and employees against reasonable, documented losses, liabilities, damages, and legal expenses arising from a third-party claim to the extent caused by:

  • your unlawful User Content or messages;
  • your infringement of another person's rights;
  • your fraud, intentional misconduct, or unlawful services; or
  • your material breach of these Terms of Service.

This obligation does not apply to the extent a claim or loss is caused by GarlicCards' own negligence, breach of these Terms, unlawful conduct, or intentional misconduct. It does not require you to indemnify us for obligations that cannot legally be transferred to you. If applicable consumer law prohibits this indemnity, it does not apply to you to that extent.

If we seek indemnification, we will give you reasonably prompt notice of the claim, subject to lawful restrictions, and a reasonable opportunity to participate in its defence. We will take reasonable steps to limit recoverable losses. Neither party may agree to a settlement that imposes an admission, payment, or non-monetary obligation on the other without that party's prior written consent, which must not be unreasonably withheld.

This section allocates certain costs between you and GarlicCards. It does not prevent a third party from bringing a claim or remove obligations imposed on GarlicCards by law.

18. Suspension and Termination

You may stop using GarlicCards at any time.

GarlicCards may suspend or terminate access where it reasonably believes that:

  • an account, card, message, or other conduct violates Platform policies or applicable law;
  • an account creates risk or potential harm to another person;
  • information submitted by the user is fraudulent or materially misleading;
  • the account has been compromised;
  • the user has repeatedly received credible complaints;
  • suspension is required by a court, regulator, law-enforcement authority, payment provider, or service provider; or
  • suspension is reasonably necessary to protect the Platform.

Termination may result in loss of access to cards, messages, profile information, and other account data. Deletion and retention remain subject to section 9, applicable privacy requirements, and legal preservation obligations. Termination does not extinguish accrued rights or obligations that by their nature survive, including applicable payment, liability, and indemnity provisions.

19. Changes to These Terms

GarlicCards may update these Terms of Service as the Platform, its features, its business model, or applicable requirements evolve.

The current version will be identified by the "Last updated" date shown above. Material changes may also be communicated through the Platform, by email, or by another reasonable method.

Your continued use of GarlicCards after updated Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by applicable law. Where applicable law requires express consent to a particular change, GarlicCards will request that consent separately.

20. Other Policies, International Use, and Governing Law

These Terms of Service apply alongside the Privacy Policy and any feature-specific rules that GarlicCards publishes and makes available to you. A reference to a possible policy does not incorporate an unpublished document. Additional contractual terms apply only when adequately disclosed and validly accepted as required by law.

If an applicable feature-specific term conflicts with these Terms, the specific term governs that feature to the extent lawfully agreed. No policy overrides mandatory law or authorizes a privacy practice that is unlawful.

Users may access GarlicCards from different countries. You must comply with the laws applicable to your use, communications, and services, including those where a service is offered or performed. Availability of a category or card is not confirmation that the service is lawful in your location. GarlicCards may restrict features, categories, content, or access by location where reasonably necessary.

Nothing in these Terms deprives a user of non-waivable consumer protections, privacy rights, or rights to bring proceedings in a court or forum available under mandatory law. Global availability does not exempt GarlicCards from applicable local requirements.

Governing law and courts

Subject to the mandatory protections below, these Terms of Service and disputes arising out of or relating to them or your use of the Platform are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without giving effect to conflict-of-laws rules that would require application of another jurisdiction's laws.

Subject to the mandatory protections below, you and 12449676 Canada Inc. agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, for such disputes.

If you are a consumer, these choices do not deprive you of protections that cannot lawfully be waived under the laws applicable to you, including mandatory protections of your place of residence. They do not restrict any non-waivable right to bring or defend proceedings in another court or tribunal, participate in a class proceeding, or make a complaint to a regulator. Where applicable law requires a different forum or prevents enforcement of this choice of law or courts, that law prevails to the necessary extent. These provisions do not govern a separate agreement between users unless those users independently agree otherwise.

21. Severability

If any provision of these Terms of Service is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

22. No Waiver

A failure by GarlicCards to enforce a provision on one occasion does not waive its right to enforce that provision later.

23. Contact, Content Reports, and Privacy Requests

Questions, reports of prohibited cards or messages, intellectual-property complaints, privacy requests, and legal notices may be sent to:

To submit a content report, email legal@garliccards.com and provide, where available:

  • the card URL or identifier, or the conversation and message identifiers;
  • the relevant username or account and approximate date and time;
  • a clear explanation of the concern and why you believe it violates our rules or applicable law;
  • relevant context or evidence you may lawfully share; and
  • an email address for follow-up.

An in-product reporting feature may also be used if available. Do not include unrelated private messages or unnecessary sensitive information. Do not download, copy, or send suspected child sexual abuse material to us; identify its location and report it through the appropriate official channel. We will follow any reporting and preservation requirements applicable to information brought to our attention.

For an immediate threat or emergency, contact the appropriate local emergency services. GarlicCards' reporting channel is not an emergency service.

Reports and privacy requests will be handled in accordance with applicable law. We may need additional information to locate content, establish authority, verify a requester's identity, or assess a complaint, limited to what is reasonably necessary.
